Introduction and Acceptance

Welcome to cooktree! These Terms of Service ("Terms") govern your access to and use of the cooktree platform operated by Entreprises Cooktree Canada Inc. ("cooktree", "we", "us", or "our").

By accessing or using cooktree, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

Use at Your Own Risk

Recipes and content on cooktree are created by users, not by cooktree. We do not verify, guarantee, or endorse the accuracy, safety, or quality of any recipe or user content.

You assume all risks when following any recipe, including risks of allergic reactions, foodborne illness, kitchen accidents, or disappointing results. Always verify ingredients if you have dietary restrictions or allergies. cooktree is not liable for any outcomes from following recipes on our platform.

Content on cooktree is not professional advice. Do not rely on user-generated content for medical, nutritional, or health decisions. Always consult qualified professionals for such matters.

Account Registration

To use certain features of cooktree, you must create an account. When creating an account, you agree to:

• Be at least 13 years of age
• Provide accurate and complete information
• Keep your account credentials secure and confidential
• Be responsible for all activity that occurs under your account

To subscribe to paid content or to monetize content as a creator, you must be at least 18 years of age (or the age of majority in your jurisdiction), or have the consent and supervision of a parent or legal guardian.

Subscription Services

cooktree allows users to subscribe to content creators for access to premium recipes and exclusive content.

When you subscribe to a creator:

• You authorize us to charge your payment method on a recurring basis (monthly or annually)
• Subscription prices are set by individual creators and may vary
• You can cancel your subscription at any time from your account settings

Subscription fees may be subject to applicable taxes (such as VAT, GST, or sales tax) based on your location. The total price including any taxes will be displayed before you confirm your subscription.

If your payment method is declined or a recurring charge fails, your subscription may be suspended or cancelled. Please keep your payment information up to date to maintain uninterrupted access.

Creator Services

Creators on cooktree can publish recipes and receive payments from subscribers. As a creator, you agree to:

• Only publish content that you have the right to share
• Set up a Stripe Connect account to receive payments
• Comply with all applicable tax and legal requirements in your jurisdiction
• Not publish misleading, harmful, or prohibited content
• Respond to subscriber inquiries in a timely manner

cooktree reserves the right to review, moderate, or remove content that violates these Terms or our community guidelines.

Content Ownership and Licensing

You retain ownership of all recipes, photos, and other content you create and publish on cooktree.

By publishing content on cooktree, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, display, reproduce, modify (for technical purposes such as resizing images or format conversion), and distribute your content through our platform and to our service providers to provide our services.

You represent that you own or have the necessary rights to all content you publish, including recipes, photos, and descriptions.

When you publish content, you also grant users who are authorized to view it (subscribers for premium content, or all users for public content) a limited, non-commercial, personal-use license to access and view that content. Users may not redistribute, republish, or commercially exploit your content.

Platform Fees

cooktree charges creators a platform fee on subscription revenue. This fee is deducted from payments before they are transferred to your Stripe account.

The current platform fee is 10%, plus applicable Stripe processing fees. Fee structures are displayed in your Creator Dashboard and may change with notice.

Creator Payments and Payouts

Creator payouts are processed through Stripe Connect. You must set up a Stripe Connect account to receive payments. Payouts are only available in countries supported by Stripe Connect.

Creators manage their own payout settings through their Stripe account. Stripe processing fees apply to all transactions.

If a subscriber issues a chargeback or we approve a refund, the refunded amount will be recovered from your future subscription revenue.

Creators are independent contractors, not employees of cooktree. You are responsible for all tax obligations on income earned through the platform, including reporting income and paying applicable taxes in your jurisdiction.

cooktree may suspend your creator account and stop future subscription collection if you violate these Terms or our policies.

Payments and Billing

All payments are processed securely through Stripe. By making a payment, you agree to Stripe's terms of service and authorize the charge to your payment method.

Subscription billing occurs on a recurring basis. You will be charged automatically until you cancel your subscription.

Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation, you will retain access to premium content until the end of your current billing period.

Subscriptions are non-refundable. However, refund requests may be considered on a case-by-case basis at our sole discretion.

To request a refund or cancel your subscription, please contact us at the email address below or manage your subscription through your account settings.

Approved refunds may be recovered from creators' future payouts.

Prohibited Content and Conduct

You agree not to use cooktree to:

• Publish content that infringes on intellectual property rights of others
• Post illegal, harmful, threatening, abusive, or defamatory content
• Impersonate any person or entity
• Interfere with or disrupt the platform or servers
• Collect or harvest user information without consent
• Use automated means to access the platform without our permission

Intellectual Property

The cooktree name, logo, and platform design are trademarks of Entreprises Cooktree Canada Inc. You may not use our trademarks without our prior written consent.

If you believe content on cooktree infringes your copyright, please contact us with a detailed description of the alleged infringement. We will process copyright complaints in accordance with Canada's Copyright Act notice-and-notice regime.

Limitation of Liability

To the maximum extent permitted by law, cooktree shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.

Our total liability for any claims arising from these Terms or your use of cooktree shall not exceed the amount you paid to us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless cooktree and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the platform, your content, or your violation of these Terms.

Termination

You may delete your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion.

Upon termination, your right to use the platform ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or your use of cooktree shall first be attempted to be resolved through informal negotiation by contacting us at the email address below.

If informal resolution is unsuccessful, disputes shall be resolved through the courts of Quebec, Canada, and you consent to the exclusive jurisdiction of such courts.

Changes to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of cooktree after such changes constitutes acceptance of the new Terms.
